Legal Guardian Consent Terms

This is a machine translation. If it differs from the original, the original prevails.

These "Terms of Legal Guardian Consent and Assumption of Responsibility for Tournament Participation" (hereinafter "these Terms") constitute a legally binding agreement entered into between the parent or legal guardian (hereinafter "Legal Guardian") of a minor user of the STEPIN service (hereinafter "Service") (meaning a minor under the laws of the user's country of residence, and in the case of the Republic of Korea, a person under the age of 19; hereinafter "Minor") and Sidewalk Entertainment Inc. (hereinafter "Company").

These Terms set forth the Legal Guardian's consent and responsibility with respect to the Minor's participation in the Company's Service and in technology-based tournaments within the Service in which payment of an entry fee or acquisition of cash, prizes, or in-game currency is possible (hereinafter "Tournament").

By completing the Legal Guardian Verification Procedure (VPC) established by the Company, such as mobile phone identity verification or i-PIN authentication, and agreeing to these Terms, the Legal Guardian represents that he or she is the lawful legal guardian of the Minor and has the legal authority to enter into all provisions of these Terms on behalf of himself/herself and the Minor. These Terms shall have legal effect separately from, and in addition to, the STEPIN Service Terms of Use (hereinafter "Service Terms") to which the Minor has agreed.

Article 1 (Verification of Legal Guardian Relationship and Factual Information)

(1) The Legal Guardian pledges that he or she is the parent or legal guardian of the Minor under the Civil Act of the Republic of Korea, and possesses the lawful authority to consent to the Minor's legal acts. (2) The Legal Guardian pledges that all information provided to the Company during membership registration and the legal guardian verification process (including the Legal Guardian's name, contact information, and relationship to the Minor) is true, accurate, and complete. (3) The Legal Guardian shall bear the obligation to promptly update such information in the event of any change, so as to keep it current. (4) If the information provided by the Legal Guardian is found to be false, or if it is discovered that the Legal Guardian is not the lawful legal guardian of the Minor, the Company may immediately suspend or terminate the Minor's use of the Service. In such case, the Legal Guardian shall forfeit all rights to any prize money, balance, etc. within the Minor's account, and the Company may hold the Legal Guardian legally liable for any damages arising from the Legal Guardian's misrepresentation.

Article 2 (Consent to the Minor's Legal Acts)

(1) Pursuant to Article 5 of the Civil Act of the Republic of Korea, the Legal Guardian comprehensively consents to the Minor's agreement to the Service Terms and Tournament-related rules (hereinafter collectively "Terms, etc."), use of the Service, and performance of all legal acts related to use of the Service, including payment of entry fees for Tournament participation. (2) All legal acts performed by the Minor pursuant to the consent under this Article shall be valid acts performed with the consent of the Legal Guardian, and shall not constitute a "voidable legal act" under Article 5, Paragraph 2 of the Civil Act. The Legal Guardian may not assert the invalidity of any legal act performed by the Minor prior to withdrawing this consent.

Article 3 (Guardian's Supervisory Duty and Pledge of Compliance)

(1) The Legal Guardian confirms that he or she has personally read and understood the entire contents of the Company's Terms, etc., and confirms and agrees that the said Terms, etc. apply equally to the Minor. (2) The Legal Guardian bears the responsibility of actively supervising and guiding the Minor's use of the Service (including gameplay, chat, and payment status). (3) The Legal Guardian bears the responsibility of ensuring that the Minor complies with the Terms, etc. and relevant laws and regulations, including the Game Industry Promotion Act. (4) The Legal Guardian acknowledges in advance and expressly agrees that, if the Minor violates the Terms, etc. (in particular, provisions prohibiting fraudulent conduct), the Company may take sanctions pursuant to the Terms, etc., including suspension of the Minor's account, disqualification from Tournament participation, and full forfeiture of any prize money won (including all cash, prizes, in-game currency, etc.) and account balance.

Article 4 (Consent to Liability, Assumption of Risk, and Indemnification)

(1) Financial Responsibility: The Legal Guardian shall bear final and full legal and financial responsibility for all use of paid services, payment of Tournament entry fees, and all other monetary obligations arising through the Minor's account. (2) Assumption of Risk: The Legal Guardian clearly acknowledges that participation in a Tournament entails the risk of "economic loss," such as loss of entry fees, and voluntarily assumes all risks (including financial loss) arising from the Minor's participation. (3) Release of the Company's Liability and Waiver of Legal Action: On behalf of himself/herself and the Minor, the Legal Guardian agrees that, absent intentional misconduct or gross negligence on the part of the Company, he or she will not hold the Company and its officers, employees, and agents (hereinafter "Company, etc.") liable for any damages, losses, or costs arising in connection with the Minor's use of the Service (release of liability), and will not file any lawsuit or claim against the Company, etc. in connection therewith (waiver of legal action). (4) Indemnification: If damages are caused to the Company or a third party due to the Minor's intentional act, negligence, violation of the Terms, etc., or the Legal Guardian's violation of these Terms (including misrepresentation under Article 1), the Legal Guardian, jointly and severally with the Minor, shall be responsible for defending against and indemnifying the Company for all tangible and intangible damages, losses, and costs incurred by the Company (including reasonable attorney's fees).

Article 5 (Consent to Collection, Use, and Provision of Personal Information)

(1) Consent to Processing of Information of Children Under 14: If the Minor to whom the Legal Guardian is consenting on behalf of is under the age of 14, the Legal Guardian expressly consents to the collection, use, and provision of the Minor's personal information pursuant to Article 22-2 of the Personal Information Protection Act of the Republic of Korea. (2) Personal Information of the Minor: The Legal Guardian consents to the Company's collection, use, and retention of the Minor's personal information (including name, date of birth, email, account ID, game records, rankings, payment history, and chat logs) for purposes such as operating the Service, managing Tournaments (including posting leaderboards), disbursing prizes, providing customer support, and preventing and sanctioning fraudulent conduct. (3) Personal Information of the Legal Guardian: The Legal Guardian consents to the Company's collection and use of the Legal Guardian's personal information (including name, email, mobile phone number, and i-PIN identification value) for the sole purpose of verifying the Legal Guardian's identity and confirming consent (VPC). The Company confirms that such information shall be destroyed without delay once the above purpose is achieved (i.e., immediately upon completion of verification). (4) Consent to Essential Third-Party Provision: The Legal Guardian acknowledges and agrees that, for the essential operation of Tournaments, disclosure of the Minor's account ID, scores, rankings, etc. to other participants and the public (leaderboard), and provision of personal information to payment agents and financial institutions for prize disbursement, are "essential" to the provision of the Service. (5) Rights of the Legal Guardian: The Legal Guardian may request access to, correction of, deletion of, or withdrawal of consent regarding the Minor's personal information in accordance with the procedures specified in the Company's Privacy Policy.

Article 6 (Confirmation and Effect of Consent)

The Legal Guardian confirms that he or she has fully reviewed all contents of these Terms, clearly understands the legal significance of the material rights and responsibilities specified herein—particularly the release of the Company's liability, waiver of legal action, and indemnification obligations set forth in Article 4—and agrees to these Terms voluntarily and of his or her own free will.

Article 7 (Governing Law and Jurisdiction)

(1) The interpretation and application of these Terms shall be governed by the laws of the Republic of Korea. (2) For all disputes and lawsuits arising between the Company and the Legal Guardian in connection with these Terms and the Minor's use of the Service, in addition to the courts having jurisdiction under the Civil Procedure Act, the Seoul Central District Court shall be the court of first instance with agreed exclusive jurisdiction.
